1. About This Agreement
This End User License Agreement ("EULA") is a legal agreement between you and Szilárd Szlákó for the software product identified as Beta Test software, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation (collectively, the "SOFTWARE").
Szilárd Szlákó reserves the right to make changes to this EULA at any time by posting the changed Agreement at https://www.polyraven.com/beta-eula/ . Szilárd Szlákó is obligated to also provide notice by sending an email to any address you may have used to register for the POLYRAVEN BETA PROGRAM, or through other similar mechanisms.
-"POLYRAVEN BETA PROGRAM" means the testing process by external entities of any software developed by Szilárd Szlákó identified as Beta Test software.
-"POLYRAVEN NETWORK" means web services used and/or operated by Szilárd Szlákó
IMPORTANT - DO NOT SKIP: BY DOWNLOADING, INSTALLING, OR USING THE SOFTWARE, YOU REPRESENT THAT YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA.
IF YOU DO NOT AGREE TO THESE TERMS DO NOT DONWLOAD, INSTALL, COPY, ACCESS OR USE THE SOFTWARE.
2. Grant of License
Subject to the terms and conditions of this Agreement, Szilárd Szlákó hereby grants to you a limited, personal, non-exclusive, non-transferable license to install and use the SOFTWARE on multiple computers located at your premises for the sole purpose of testing the SOFTWARE for the duration of the POLYRAVEN BETA PROGRAM.
3. Confidentiality
Licensee agrees to treat SOFTWARE as confidential and will not without the express written authorization of Szilárd Szlákó:
-demonstrate, copy, sell or market the SOFTWARE to any third party,
-publish or otherwise disclose information relating to performance or quality of the SOFTWARE to any third party or
-modify, reuse, disassemble, decompile, reverse engineer or otherwise translate SOFTWARE or any portion thereof.
4. Feedback
You agree to notify Szilárd Szlákó of all problems and ideas for enhancements which come to your attention during the period of this Agreement, and hereby assigns to Szilárd Szlákó all right, title and interest to such enhancements and all property rights therein including without limitation all patent, copyright, trade secret, mask work, trademark, moral right or other intellectual property rights.
5. Product Support
Szilárd Szlákó is under no obligation to provide technical support under the terms of this license, and provides no assurance that any specific errors or discrepancies in the SOFTWARE will be corrected.
6. Intellectual Property and Ownership
Szilárd Szlákó shall at all times retain ownership of the SOFTWARE as originally downloaded by you and all subsequent downloads of the SOFTWARE by you.
The SOFTWARE (and the copyright, and other intellectual property rights of whatever nature in the SOFTWARE, including any modifications made thereto) are and shall remain the property of Szilárd Szlákó.
Szilárd Szlákó reserves the right to grant licences to use the SOFTWARE to third parties.
7. Warranty
THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND,
EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES
OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND
NONINFRINGEMENT. IN NO EVENT SHALL THE AUTHORS OR COPYRIGHT
HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY,
WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING
FROM, OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR
OTHER DEALINGS IN THE SOFTWARE.
LICENSEE IS ADVISED TO SAFEGUARD IMPORTANT DATA, TO USE CAUTION AND NOT TO RELY IN ANY WAY ON THE CORRECT FUNCTIONING OR PERFORMANCE OF THE SOFTWARE AND/OR ACCOMPANYING MATERIALS.
8. Termination
This EULA agreement is effective from the date you first download the SOFTWARE and shall continue until terminated.
Either party may terminate this Agreement at any time for any reason or no reason by providing the other party advance written notice thereof.
It will also terminate immediately if you fail to comply with any term of this EULA agreement.
Upon termination, the licenses granted by this EULA agreement will immediately terminate and you agree to stop all access and use of the SOFTWARE. The provisions that by their nature continue and survive will survive any termination of this EULA agreement.
9. Updates and Automatic Communications
The SOFTWARE has built in functionality to automatically check for updates by transmitting data to servers of POLYRAVEN NETWORK. You agree that the SOFTWARE may transfer such data over your network and the internet to POLYRAVEN NETWORK's servers, download updates and install them as part of the SOFTWARE.
The SOFTWARE may communicate with POLYRAVEN NETWORK to help determine the number and geolocation of active copies of the SOFTWARE. Szilárd Szlákó garantees that only the minimum ammount of required data is transfered, and no personal data is used in the process.
10. Governing Law
This EULA agreement, and any dispute arising out of or in connection with this EULA agreement, shall be governed by and construed in accordance with the laws of Czech Republic.
